MAITAMAC & BERRIO ASSETS

District-Scale Exploration Potential

Quimbaya Gold’s exploration activities are focused on advancing its flagship Tahami Project. Maitamac remains part of the Company’s longer-term exploration portfolio, while Berrio has been optioned for sale as part of Quimbaya’s strategy to monetize non-core assets, retain exposure to future upside and focus capital and technical resources on Tahami.

Strategic Monetization of a Non-Core Asset

The Berrio Project is a non-core gold exploration asset located in Puerto Berrío, Antioquia, Colombia. In August 2026, Quimbaya entered into an option agreement providing for the sale of a 100% interest in the project for total consideration of up to US$3.75 million in cash and shares, if the option is exercised.

The transaction is designed to monetize value from a non-core asset while preserving Quimbaya’s share structure and sharpening the Company’s focus on its flagship Tahami Project. Quimbaya receives two non-refundable deposits totaling US$250,000 during the option period and, upon exercise and closing, would receive additional cash consideration and retain ongoing exposure through an approximately 19.9% equity interest in the purchaser.

Importantly, the transaction is non-dilutive to Quimbaya shareholders, with no new Quimbaya shares issued as consideration.
